1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the websites, products, and services (collectively, the "Services") provided by Zuro AI Inc., which operates the Auralis platform ("Auralis," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, do not access or use the Services.
2. The Services
Auralis provides an agentic AI platform for customer support and service teams, including AI agents that resolve, deflect, and assist with customer inquiries across channels. The specific features, usage limits, and commercial terms applicable to a paid subscription are set out in the applicable order form, subscription plan, or master services agreement ("Order"). In the event of a conflict between these Terms and a signed Order, the Order controls.
We may update, enhance, or modify the Services over time. We may also add, change, or remove features, provided we do not materially reduce the core functionality of a paid subscription during its then-current term.
3. Accounts and Eligibility
To use certain parts of the Services you must register for an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You must be at least 18 years old and capable of forming a binding contract to use the Services.
4. Acceptable Use
You agree not to, and not to permit any user or third party to:
- use the Services in violation of any applicable law or regulation;
- upload or transmit malicious code, or interfere with or disrupt the integrity or performance of the Services;
- attempt to gain unauthorized access to the Services or related systems or networks;
- reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by law;
- resell, sublicense, or provide the Services to third parties except as expressly permitted;
- use the Services to build a competing product, or to train a competing machine-learning model; or
- use the Services to generate, facilitate, or distribute content that is unlawful, harmful, harassing, deceptive, or that infringes the rights of others.
We may suspend or limit access to the Services if we reasonably believe your use violates these Terms or poses a risk to the Services or other users.
5. Customer Data and AI Processing
"Customer Data" means data, content, and materials that you or your users submit to the Services, including customer support conversations and knowledge sources you connect. As between the parties, you retain all rights in Customer Data.
You grant Auralis a limited, non-exclusive license to host, process, and transmit Customer Data solely to provide and support the Services and as otherwise permitted in these Terms and our Privacy Policy (available at /privacy-policy/) and, where applicable, a Data Processing Addendum. Our handling of personal data is described in our Privacy Policy.
Where the Services use AI models to generate responses, you understand that AI output may be inaccurate or incomplete and should be reviewed where appropriate for your use case. Unless expressly agreed otherwise in an Order or Data Processing Addendum, we do not use your Customer Data to train foundation models for other customers.
6. Fees and Payment
Paid Services are billed according to the applicable Order or plan. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and due per the billing terms in your Order. We may suspend Services for non-payment after reasonable notice. We may change pricing for a renewal term with prior notice.
7. Intellectual Property
The Services, including all software, models, interfaces, and documentation, and all related intellectual property rights, are and remain the exclusive property of Auralis and its licensors. Except for the limited right to use the Services granted here, no rights are transferred to you. Any feedback you provide may be used by us without restriction or obligation.
8. Third-Party Services
The Services may integrate with or link to third-party products (for example, scheduling, CRM, or messaging tools). Your use of third-party products is governed by their terms, and Auralis is not responsible for third-party products.
9. Confidentiality
Each party may access confidential information of the other. The receiving party will use the disclosing party's confidential information only to perform under these Terms and will protect it using reasonable care. This section does not apply to information that is public, independently developed, or rightfully received from a third party.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURALIS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO AURALIS FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You will indemnify and hold harmless Auralis from third-party claims arising out of your Customer Data or your use of the Services in violation of these Terms, except to the extent caused by Auralis.
13. Term and Termination
These Terms apply while you use the Services. Subscription terms and renewals are governed by your Order. Either party may terminate for material breach not cured within a reasonable notice period. Upon termination, your right to access the Services ends, and we will make Customer Data available for export for a limited period as described in your Order or our documentation, after which we may delete it.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting on this page or notifying you). Your continued use of the Services after changes take effect constitutes acceptance.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
